The following account is not necessarily perfect. VW is a corporation. Porsche wanted to buy control of VW. Porsche bought options on VW stock, then exercised the options. Afterwards, Porsche had more VW stock than any other owner. The previously biggest owner was the state government of Niedersachsen. VW's headquarters were in Niedersachsen. Niedersachsen, which owned twenty percent of VW, had a law that, no matter how much VW stock someone owned, he would be treated for voting purposes as if he owned not more than twenty percent. Thus, for voting purposes, Porsche did not have more power than the Niedersachsen state government. Porsche got a court to knock that law down because it violated a treaty to which Germany was signatory. Germany's national government then enacted a law requiring a super-majority (namely, more than eighty percent) when VW stockholders voted. This law gave Niedersachsen a veto because Niedersachsen owned twenty percent. Then, Porsche suffered as part of the recent depression. Porsche will never control VW. We are under the impression that VW and Porsche will merge. If you want to get control of a corporation, don't choose a corporation the biggest owner of the stock of which is the government of the jurisdiction in which the corporation has its headquarters.
VW is not simply a corporation like many others. With th help of national government legislation, the state government controls VW.
By the way, we think that VW bought a controlling interest in Suzuki, the Japanese manufacturer.
